Contract of Editing Services

1) The work will be carried out unsupervised at such times and places as determined by me, using my own equipment. 
2) The work will be carried out by me. I will not subcontract proofreading projects, or parts of projects, to third parties. 
3)  I confirm that I am self-employed, am responsible for my own income tax, and will not claim benefits granted to the Client's employees. 
4) The letter of agreement requires that the Client acknowledges, in writing that they have read, understood, and agreed to these terms and conditions.  

 5) Payment Terms:

       Payment is made via Stripe: 

  • Depending on the package (fempreneur or author), 50% of the total payment will be due before work begins as a non-refundable deposit to secure the Client’s slot in my schedule. The booking is considered confirmed once the deposit has been paid by the Client and received by me. OR the retainer amount is due upfront before services begin.

  • Depending on the package (fempreneur or author), the remaining 50% will be invoiced upon completion of the project and must be paid immediately upon receipt before edited materials are returned. OR the retainer amount will be on autopay the duration of the retainer period.

  • Fees are quoted for 2-4 passes, depending on the project. Additional passes are new projects, the terms of which will be agreed upon separately.

  • Please note that if, on receipt of the project to be worked on (or at an early stage), it becomes apparent that significantly more work is required than had been anticipated in the preliminary discussion or from the sample supplied, I may renegotiate the fee and/or the deadline or decline to carry out the work. 

 

6) Cancellation Policy: Terms and Fees  

  • Both the Client and I have the right to terminate a contract for services at any time if there is a serious breach of its terms. 

  • This Client is free to cancel a service for any reason by providing me with written notice; I must acknowledge this cancellation in writing for this to be valid. 

  • If, in the unlikely event that the Client is touched by extraordinary or difficult circumstances that cause cancellation or delay (e.g., family crisis, illness, bereavement), the Client should contact me to discuss the terms of the cancellation policy. I aim to be fair and helpful at all times. 

  • If I am touched by extraordinary or difficult circumstances that cause cancellation (e.g., family crisis, illness, bereavement), I will contact the Client in writing at the earliest opportunity and do my best to renegotiate the time frame of the project or find an alternative supplier of editing services. The 50% deposit will be refunded (depending on the package). 

  • If the Client cancels the work during the editing project, I reserve the right to invoice for 100% of the agreed fee (less the booking fee, if applicable). 

  • If the Client wishes to cancel with less than 14 days' notice, I reserve the right to invoice for 100% of the agreed fee. 

  • If the Client wishes to cancel with more than 14 days' notice, the booking fee will not be refunded but no other charge will apply. 

 

7) Confidentiality. The nature and content of the work will be kept confidential and not made known to anyone other than the Client and its contractors without prior written permission. I will not, under any circumstances, upload the Client’s files to external websites or distribute them to third parties unless specifically authorized to do so, in writing, by the Client. I do, however, use Hightail as a cloud storage system. See my Privacy Policy [add link] for how your data is protected. The Client and I may keep on record such information (e.g., contact details) as is necessary. Either may view the other's records to ensure that they are relevant, correct, and up to date. 

8) Copyright. It must be noted that my services are being performed with the understanding that the material I will be working on is original content that has been created by the Client. The origins of the content and any related material, and the nature in which it will be presented, is not within the terms of our agreement and fall outside the scope of my tasks and responsibility. In this respect, the Client agrees to hold me harmless from and against all claims, liabilities, and expenses arising out of any potential or actual copyright or trademark misappropriation or infringement claimed against them. Following payment of my invoice, any content created by me as part of the editing process will become the copyright of the Client unless otherwise agreed. 

9)  Style Release. I will use reasonable efforts to ensure Client’s services are carried out in a style and manner consistent with my current portfolio and services, and I will try to incorporate any suggestions Client makes. However, Client understands and agrees that:

  • Every client and final delivery are different, with different tastes, budgets, and needs;

  • Virtual Assistance is a subjective service, and I am a provider with a unique vision, with an ever-evolving style and technique.

  • I will use my personal judgment to create favorable results for Client, which may not include strict adherence to Client’s suggestions.

  • Dissatisfaction with my independent judgment or individual management style is not a valid reason for termination of this Agreement or request of any monies returned. 

 

10) Non-Disparagement. The Parties mutually agree not to make public defamatory statements that would materially harm the reputation or business activities of any Parties to this Agreement.

 

11) Legal jurisdiction. This agreement is subject to the laws of the state of Arizona, and both the Client and I agree to submit to the jurisdiction of the Arizona courts. The exclusive venue for any arbitration or court proceeding based on or arising out of this Agreement shall be Phoenix, Arizona. 

 

12) Acknowledgments in published works. There is no requirement for the Client to mention me in the published work's acknowledgments section. However, the Client agrees that I will have the opportunity to review any such mention prior to publication, or to decline to be mentioned. 

 

13) Client Designation. Client grants Contractor the right to use Client’s name and/or logo in Contractor’s marketing materials, which may include Contractor’s website.
